Establishment of new stadium holding and operating company
Hokkaido Nippon-Ham Fighters Baseball Club Co., Ltd. (headquarters: Sapporo City, Hokkaido; President: Koji Kawamura, hereinafter “Fighters”), NH Foods Ltd. (Headquarters: Osaka City, Osaka; President: Yoshihide Hata; hereinafter “NH Foods”) and DENTSU Inc. (Headquarters: Minato-ku, Tokyo; President: Toshihiro Yamamoto; hereinafter “Dentsu”) established a new company on October 1st, "Fighters Sports & Entertainment Co., Ltd. (hereinafter “FSE”)", which will own and operate the Fighters’ new stadium.
FSE will play the role of further realizing & establishing the new "Symbol of Hokkaido," by following the lead that Hokkaido Ballpark has been promoting since its establishment in March 2018, of the new stadium/ballpark that is planned to open in 2023.
In addition to the Fighters' professional baseball-related entertainment operations, through its stadium operations and ballpark managing, once the new stadium/ballpark opens, FSE will promote wellness through the organic combination of Food & Sports and will devote itself to creating a facility & space that Hokkaido residents and fans can love and pride.
This project has applied for certification by the Minister of Land, Infrastructure, Transport and Tourism of the Private Urban Revitalization Project Plan on September 11, 2019.
If certified, we plan to make a third-party allocation of new shares with the Organization for Promoting Urban Development (Location: Koto-ku, Tokyo, Chairman: Hirofumi Hanaoka) as the underwriter.

2. About business transfer from the Fighters
As of January 2020, the functions of the Business Administration Headquarters, the business division of Fighters, will be transferred to Fighters Sports & Entertainment Co., Ltd.
From January 2020, Fighters will only have the functions of Team Control Headquarters and Management Control Headquarters and will focus on team strengthening & management.
3. About investment from the Organization for Promoting Urban Development
If the Minister of Land, Infrastructure, Transport and Tourism approves the private city rehabilitation and maintenance project plan, we plan to make a third-party allotment of capital of 3.9 billion yen with the Organization for Promoting Urban Development as the underwriter. In this case, the total investment by the four companies will be 24 billion yen (capital: 12 billion yen, capital reserve: 12 billion yen).
With the addition of the Organization for Promoting Urban Development as a shareholder, further cooperation is expected in various aspects such as town development centered on the new stadium and the development of public facilities around the ballpark.

The establishment of this new company will enable us to launch full-scale construction and ballpark business development.
